ELIGIBILITY: The Promotion is open only to individuals who are legal residents
of the 50 United States or the District of Columbia, who are 18 years of age or
older at the time of entry (19 years of age or older if a resident of AL or NE,
and 21 or older if a resident of MS) and who own at least one dog or cat. Open to
amateur photographers only; individuals who earn their primary income as a photographer
are not eligible. Void outside the U.S.A. and where prohibited or restricted by
law. Internet access and a valid e-mail address are required to participate in this
Promotion. The following individuals are not eligible: employees, contractors, directors
and officers of Nestlé Purina PetCare Company ("Sponsor"), its parent, subsidiaries
and affiliated companies, and the Web design, advertising, fulfillment, judging
and promotion agencies involved in the administration, development, fulfillment
and execution of this Promotion (collectively, "Promotion Parties"), and the immediate
family members (spouse, parent, child, sibling and spouse or "step" of each) of,
and those living in the same households as, each such individual. All Entries become
the property of Sponsor. By entering this Promotion, Entrants accept and agree to
be bound by these full Official Rules and the decisions of the judges, which shall
be final, binding and conclusive on all matters.

TO ENTER: Visit www.PureLoveForPets.com (the “Web site”) beginning at Noon ET on April 23, 2013 and ending at Noon ET on May 13, 2013 (the “Entry Period”) and follow the instructions to enter the Purina Picture Paw-fect Competition (the “Contest”) and/or to enter the Pet Food Sweepstakes (“Sweepstakes”), collectively referred to as the “Promotion.” Entrants may earn an entry into the Sweepstakes by either submitting an entry into the Contest or by entering into the Sweepstakes separately. Entrants are permitted only one (1) entry into the Sweepstakes regardless of which method they choose to earn that entry. All verified winners will be announced on the Web site on or about 7/15/13.

CONTEST ENTRY REQUIREMENTS:

Each entrant may submit one (1) photo per category (Sign Language – Cat, Sign Language – Dog, Too Cute for Words – Cat, Too Cute for Words – Dog), for a maximum of four (4) entries into this Contest. Each entry must include the following:
- A completed registration form, including your name, mailing address (no P.O. boxes), daytime telephone number, confirmation that you are at least 18 years of age and e-mail address.
- Your pet’s name: Must be no more than 50 characters (including spaces) in length.
- An original photo:
- Photo may not exceed 3 MB in file size.
- Photo must be submitted in either JPG, GIF or PNG format.
- Only one (1) cat may appear in a cat category photo. Only one (1) dog may appear in a dog category photo. Cats and dogs may not appear in the same photo. Entries featuring multiple pets of ANY kind (e.g., photo of a cat looking into a fish bowl) will be disqualified.
- Dogs or Cats depicted in photos must be owned by the entrant submitting the entry.
- Photos may not show any identifiable person (e.g., photo may show visible arm, leg, lap, silhouette or the like, but individual persons may not be identified. Pet must be the featured subject.).
- No logos or branded products (including Purina® brand products) are allowed in the photos.
- Photo should represent the category it is submitted in.

Because Sponsor promotes the compassionate care of all pets, entries showing or describing animals in unsafe situations or not exemplifying responsible pet ownership, in Sponsor’s sole discretion, will not be considered and will be disqualified.

All Contest entries must be received by Noon ET on May 13, 2013. Once you upload your photo and submit your entry, your entry is final and may not be modified or edited. Sponsor is not responsible for lost, late or incomplete Entries. If a problem occurs in the online submission process, entrant should receive an "Error" message. Neither Sponsor nor the Administrator will be responsible for any photo not actually received due to incomplete or improper transmission. Similarly, neither Sponsor nor Administrator has any obligation to advise entrant of an incomplete entry.

CONTEST ENTRY CONDITIONS:
- By submitting an entry, entrant represents and warrants that:
- The entry is original and has been legally created by entrant;
- Each element of the entry does not infringe the intellectual property, privacy or publicity rights, or any other legal or moral rights of any third party and will not constitute libel or defamation of any third party;
- The entry has not been entered in previous contests or won previous prizes or awards;
- Has not been published or distributed previously in any media;
- The dogs and/or cats featured in the photo are owned by the entrant; and
- Entrant has all necessary rights to grant the rights set forth in these Official Rules.
- Entrant further represents that he/she owns all rights to each element of his/her entry, including, without limitation, the copyrights in the photo and description. If someone other than the entrant contributed to the production of the entry in any way, including taking the picture or writing the description, entrant must obtain a written assignment of rights to the materials produced by such individual.
- Sponsor and/or the Administrator may prohibit an entrant from participation in the Contest, at their sole discretion, if the entrant shows a disregard for, or attempts to circumvent, these Official Rules or acts: (a) in a manner that affects the administration, security, fairness or proper play or conduct of the Contest in any way; (b) with an intent to annoy, threaten or harass any other entrant or the Sponsor; or (c) in any other disruptive manner.
- Sponsor reserves the right to, and may or may not, monitor/screen entries prior to posting them to the Web site. By entering, you acknowledge that Sponsor has no obligation to use or post any entry you submit. Sponsor reserves the right to waive the entry requirements set forth herein in its reasonable discretion. No correspondence about entries will be entered into, nor will entries be acknowledged or returned. If all required information is not included, entry may be disqualified. Sponsor reserves the right in its reasonable discretion, during or upon completion of the Contest, to request that any entrant resubmit his or her entry that fails to comply with the Official Rules prior to any judging period or to reject any entry that it finds, in its sole discretion, to violate any of the requirements set forth in these Official Rules or it finds to be offensive, in violation of any law, regulation or right of any third party. Sponsor may, but is under no obligation to, post entries to the gallery at www.PureLoveForPets.com and its other social media and online sites including, but not limited to, Facebook, Pinterest, YouTube, MySpace, Petcentric and Purina.com. Posting of any entry is subject to the sole discretion of Sponsor and Administrator.
- BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT HIS/HER ENTRY MAY BE POSTED ON SPONSOR’S WEB SITE AND/OR OTHER INTERNET WEB SITES, INCLUDING SPONSOR’S SOCIAL MEDIA SITES, IN SPONSOR’S SOLE DISCRETION. ENTRIES POSTED TO THE WEB SITE AND/OR OTHER INTERNET WEB SITES MAY OR MAY NOT BE EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER.

CONTEST WINNER DETERMINATION: The potential Contest winners will be determined from the Finalists with the highest scoring entries based on 60% from the outcome of the Finalist Round of Judging and 40% from the outcome of the online Public Vote, as outlined in Section 8 and Section 9 below. Potential Contest winners will be contacted via Federal Express at the mailing address provided at registration, and may be required to complete, sign and return an Affidavit of Eligibility, Liability Release, Copyright Assignment and, where lawful, a Publicity Release and any other documentation requested by Sponsor. All completed documents must be returned to Sponsor within seven (7) days or potential winner will be disqualified and an alternate potential winner will be determined from the entrant with the next-highest scoring entry. In the event of a winner’s disqualification for any reason, the entrant with the next-highest scoring entry will be determined the alternate potential winner. In the unlikely event of a tie for any prize level in any category, the tied entries will be re-judged using the same judging criteria used to determine the Finalists; the entry with the highest score will then be deemed the potential winner for the appropriate prize level in that category. Winners will be required to irrevocably assign and transfer to Sponsor any and all rights, title and interest in his/her entry, including, without limitation, all copyrights, and agree to waive all moral rights in that entry (see Section 12 below). The verified winners will be notified after the results are finalized and will be announced on or about July 15, 2013 on the Web site.

FINALIST ROUND OF JUDGING (60% of total score): Contest entries for each category will be independently judged, then evaluated by Sponsor and its animal behaviorist(s), to determine the ten (10) highest scoring entries in each Cat and Dog category, each a “Finalist,” subject to verification. Entries will be evaluated based on the following weighted criteria:
In the event of a tie in any category, the tie will be broken based on the highest score in the first judging criteria, continuing thereafter to each judging criteria in order, as needed to break the tie. The ten (10) highest scoring entries within each of the four (4) categories will be posted online for public voting. Sponsor reserves the right to select fewer than ten (10) Finalists in each category if, in its sole discretion, it did not receive a sufficient number of eligible Entries in that category or if Sponsor is unable to verify the eligibility of ten (10) Finalists in any category (as applicable). In the event an entrant has more than one (1) entry that qualifies as a Finalist in more than one category, only the highest scoring entry, regardless of the category under which the entry was submitted, will move on to the Public Voting phase. In the event of a tie, the tied entries will be re-judged by a new judge using the same judging criteria used to determine the Finalist entries. The entry that receives the highest score will then move on to the Public Voting phase. All Finalists will be contacted by phone between June 11, 2013 and June 13, 2013, at the phone number provided at time of entry to notify each Finalist that they have moved on to the Public Voting phase; messages may be left.

PUBLIC VOTE (40% of total score): The confirmed Finalists’ entries in each category will be posted on the Web site. Internet access and a valid e-mail address will be required to access the Finalists’ voting page and cast a vote. Public voting will begin at Noon ET on June 17, 2013 and end at Noon ET on June 26, 2013 (the “Public Voting Period”). Participants who register to vote will be able to cast one (1) vote per category, per day; for a total of 4 votes each day during the Public Voting Period. Any suspected or deliberate attempt to manipulate, or otherwise fraudulently tamper with the voting process, may result in disqualification of the voter and
his/her votes, and/or the Finalist, at the Sponsor’s sole discretion. Fraudulent tampering includes, but is not limited to: (a) using any e-mail address for which the voter is not the Authorized Account Holder to cast proxy votes; (b) using multiple e-mail addresses to vote; (c) vote brokering, partnerships or alliances that exist for the purpose of exchanging votes (e.g., my supporters will vote for you if your followers vote for me); or (d) votes generated by the use of a macro, script, bot or other automatic voting software, which is prohibited. In the event that fraudulent tampering is suspected and/or detected, all suspect votes will be voided, if possible, and the voter will be blocked from any further participation in the Contest; and if such conduct is encouraged or performed by a Finalist, such Finalist may be disqualified. All votes cast are subject to verification and compliance with these Official Rules.
Sponsor reserves the right to monitor any social media pages belonging to the Finalists during the Public Voting Period. Finalists agree to give Sponsor (or Administrator) viewable access to Finalists' social media pages solely to help ensure all Finalists participate in the program in accordance with these Official Rules. Viewable access may mean allowing Sponsor or Administrator to “friend” or “follow” you.

GRANT OF RIGHTS: By submitting an entry into the Contest, each entrant irrevocably grants Sponsor and its affiliates, legal representatives, assigns, agents and licensees, a non-exclusive, royalty-free, unconditional, perpetual right and permission to reproduce, modify, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, edit, exhibit and/or otherwise use or reuse in whole or in part in any manner (without limitation as to when or to the number of times used), each element of the entry, including, but not limited to, the entrant's name, city and state of residence, likeness, image, voice (collectively, "Likeness"), and/or statements regarding his/her participation in this Contest (with or without using the entrant's name) in any and all media without limitation as to time or territory, and without additional compensation or approval from the entrant or any other party, except where prohibited by law. Entrant waives intellectual property rights, privacy/publicity rights or other legal or moral rights that might preclude the Sponsor's use of any element of the entry, and agrees not to sue or assert any claim against the Sponsor for the use of any element of the entry or entrant's Likeness or statements. If requested, entrant will sign any documentation required for Sponsor or its designees to make use of the rights entrant is granting herein. Sponsor is in no way obligated to use any entry and entrant may or may not be given any credit or attribution if any element of the entry is subsequently used by Sponsor. Entrant agrees to waive all claims to receive any royalties of any kind now or in the future from Sponsor or its designees for any use of his/her entry, including copyright or trademark royalties, and entrant represents, warrants and agrees that no other party is entitled to claim any royalties from the use of the entry as set forth in these Official Rules. Entrant further grants all end users of Sponsor’s Web site (a) the ability to rate, vote, review, comment on and tag the entry; (b) the ability to send and distribute the entry via e-mail, instant messenger, a share on social media or a pin (via Pinterest) and tag via social media or other electronic means. Entrant acknowledges that Promotion Parties will not be responsible for the public’s use of the entry and forever releases and holds the Promotion Parties harmless from and against any liability of any kind arising from or in connection with the use of the entry. Entrant acknowledges and agrees that Sponsor has no, nor shall have in the future any, duty or liability, direct or indirect, vicarious, contributory or otherwise, with respect to the infringement or protection of any copyright in and to entrant’s entry or any portion thereof.

CONTEST PRIZES: GRAND PRIZES (4): One (1) Grand Prize winner in each category will receive $7,500 awarded to the winner as a check. Total Approximate Retail Value (“ARV”) of Each Grand Prize: $7,500. FIRST PRIZES (4): One (1) First Prize winner in each category will receive $3,000 awarded to the winner as a check. ARV of each First Prize: $3,000. SECOND PRIZES (4): One (1) Second Prize winner in each category will receive $1,000 awarded to the winner as a check. ARV of each Second Prize: $1,000. THIRD PRIZES (28): Seven (7) Third Prize winners in each category will receive Purina® brand Pet Food awarded in the form of four (4) coupons, each redeemable for one (1) free, up to $25, bag of Purina® brand Pet Food, any size, any variety. ARV of each Third Prize: $100. TOTAL ARV OF ALL PRIZES: $48,800.

ASSIGNMENT OF ENTRY TO SPONSOR: Accepting a prize further constitutes each respective prizewinner’s consent to irrevocably assign and transfer to Sponsor any and all rights, title and interest in the entry, including, without limitation, all copyrights. By accepting a prize, a respective prizewinner agrees that his/her entry will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then said prizewinner irrevocably assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her entry, including all, but not limited to all, copyright and trademark rights that he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Each respective prizewinner hereby waives in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that said prizewinner may now or later have to his/her entry. Sponsor reserves the right to alter, change or modify the winning entry, in its sole discretion. Upon request of Sponsor, each respective prizewinner shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the entry and of the copyrights transferred and “Moral Rights of Authors” waived under these Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment.

INDEMNITY: Entrant agrees to indemnify and hold Sponsor, and the Promotion Parties and their respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Indemnitees"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements) brought or asserted by any third party against any of the Indemnitees due to or arising out of the use of any element of entrant's entry, entrant’s participation in this Contest, any breach by the entrant of any provision of these Official Rules or otherwise in connection with this Contest, including but not limited to claims for trademark infringement, copyright infringement, violation of an individual’s right of publicity or right of privacy, or defamation. Entrant further agrees to release Sponsor from any and all claims that any advertising subsequently produced, presented, and/or prepared by or on behalf of Sponsor infringes entrant's rights with regard to any elements or ideas contained in any element of the entry.

SWEEPSTAKES ENTRY: To submit an entry into the Sweepstakes, visit www.PureLoveForPets.com and either opt in via the checkbox at the time of registration to enter the Sweepstakes without submitting an entry into the Contest, or you will automatically receive an entry into the Sweepstakes by submitting an entry into the Contest. Regardless of which method of entry is chosen, you may receive only one (1) entry into the Sweepstakes during the Entry Period.

SWEEPSTAKES DRAWING/ODDS: One potential Sweepstakes winner will be selected in a random drawing to be held on or about July 1, 2013, by an independent judging organization, whose decisions are final, from among all eligible entries received. The potential Sweepstakes winner will be contacted at the mailing address on his/her entry and may be required to complete a Winner’s Agreement/Address Confirmation as a condition of receiving a prize. All completed documents must be returned by the date specified or potential winner will be disqualified and an alternate potential winner will be selected, if feasible. PRIZE CONDITIONS FOR ALL WINNERS: All winners are subject to verification, including without limitation, verification of eligibility and compliance with these Official Rules. Limit: One (1) prize per person in the Promotion. If an entrant has won a prize in the Contest, he/she will not be eligible to win a prize in the Sweepstakes. All prizes will be awarded to the entrant, as indicated on the registration page. If any prize or prize notification is returned as undeliverable, or if winner is otherwise disqualified, the prize will be forfeited, in Sponsor’s sole discretion, even if the disqualified winner’s name may have been publicly announced. Each winner is solely responsible for any taxes on their respective individual prizes. Prize winners who receive a prize valued at
more than $600 will be issued an IRS Form 1099 for the value of the prize; a copy will be furnished to the IRS. Prizes won by an eligible entrant who is a minor in his/her jurisdiction of residence will be awarded to minor’s parent or legal guardian who must sign and return all required documents. Any prizes depicted in promotional packaging or otherwise in connection with this Promotion are for illustrative purposes only and may not represent the actual prizes that are awarded. No substitution, cash alternative or transfer of prize is permitted, except at the sole discretion of the Sponsor or as provided herein. Sponsor reserves the right to substitute any prize with one of equal or greater value. Each winner agrees to allow use of his or her name, likeness and/or biographical information for promotional purposes in any media (including posting on the brand Web site or Sponsor’s social media pages), except where prohibited by law. Prizes will be delivered approximately 6–8¬ weeks after verification of eligibility and compliance with these full Official Rules.

GENERAL CONDITIONS: Each entrant may use only one (1) e-mail address to participate in this Promotion, and such e-mail address may be used by only one person, regardless of whether the e-mail address is shared by two or more people. Any entrant who uses more than one (1) e-mail address to enter this Promotion may be disqualified and any prizes won may be forfeited subject to Sponsor’s sole discretion. No mass, automated or mechanically reproduced entries will be accepted. No group entries or collaborations permitted. Sponsor is not liable for any disputes between collaborators related to an entry. In the event of a dispute as to the identity of an entrant, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. If for any reason any element of the Promotion is not capable of running as planned, including without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or human error or any other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right, at its sole discretion to cancel, modify or terminate the Promotion and all prize awards, or may elect to determine the winners from all eligible online entries received prior to the date of the withdrawal. In the event Sponsor terminates the Sweepstakes prematurely, it will conduct a drawing from all eligible entries received prior to the effective date of termination. Should Sponsor need to cancel the Contest prematurely, it will judge all entries received prior to the effective date of cancellation in accordance with these Official Rules. Under no circumstances will more prizes than those set forth in these Official Rules be awarded. If a printing, technical, calculation or any other error occurs that results in more potential winners than available prizes stated for a particular prize, Sponsor may elect to hold a random drawing from among all eligible potential prize winners to award the indicated number of prizes in dispute. Further, Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of the Promotion; (b) violating the Official Rules; or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempts by an individual to access the Promotion via a bot script or other brute-force attack will result in that IP address becoming ineligible. Sponsor reserves the right to require Contest winners to submit to a confidential background check to confirm eligibility as a condition of awarding the prize to help ensure that the use of any such person in advertising or publicity for the Promotion will not bring Promotion Parties into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Promotion as determined by Sponsor in its sole discretion. Each entrant acknowledges and agrees that Sponsor reserves the right, in its sole discretion, to disqualify any potential Finalist or prizewinner at any time for violation of these Official Rules, or on the basis of anything contained in, or learned or obtained as a result of, any submitted documents or any other forms requested by Sponsor that, in its sole opinion, would constitute a breach of these full Official Rules. Any attempt by a participant or any other individual to deliberately damage, interfere with, or undermine the legitimate operation of this Promotion is a violation of criminal and/or civil laws, and should such an attempt be made, Sponsor reserves the right to seek damages (including attorneys’ fees) and other remedies from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Entrants agree that the Sponsor has the sole right to decide all matters and disputes arising from this Promotion and that all decisions of Sponsor are final and binding.

LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by Sponsor or Promotion Parties resulting from any user’s participation in or attempt to participate in the Promotion or ability or inability to upload or download any information in connection with participating in the Promotion. No responsibility or liability is assumed by the Sponsor or Promotion Parties for technical problems or technical malfunctions arising in connection with any of the following occurrences that may affect the operation of the Promotion: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity, traffic congestion on the Internet or Sponsor’s servers, or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; errors in equipment or programming associated with or utilized in the Promotion; human error in the processing of entries; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web site in whole or in part for any reason; traffic congestion on the Internet or the Web site; unauthorized human or non-human intervention of the operation of the Promotion, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Promotion, or loss, miscount, misdirection, inaccessibility or unavailability of an e-mail account used in connection with the Promotion. Sponsor and Promotion Parties are not responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web site. Use of the Web site is at user’s own risk. Sponsor and the Promotion Parties are not responsible for any personal injury or property damage or losses of any kind that may be sustained to user’s or any other person's computer equipment resulting from participation in the Promotion, use of the Web site or the download of any information from the Web site. By participating in the Promotion, the entrant releases Sponsor and Promotion Parties from any and all claims, damages or liabilities arising from or relating to such entrant's participation in the Promotion. By accepting a prize in the Promotion, winners agree that the Sponsor and Promotion Parties shall not be liable for any loss or injury, including, but not limited to, death resulting from participation in the Promotion, acceptance or use of any prize. Sponsor and Promotion Parties are not liable in the event that any portion of the Promotion or scheduled commercial broadcast is cancelled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control (a "Force Majeure Event"). As a condition of entering, entrants (or their parent or legal guardian if entrant is a resident of a jurisdiction that deems him/her to be a minor) agree (and agree to confirm in writing): (a) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (b) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; (c) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs; and (d) to release and hold Sponsor, Promotion Parties and the officers, directors, employees, representatives, contractors, and agents of each such entity harmless from any and all liability whatsoever for any injury, loss, or damage of any kind to any person or property resulting from the acceptance, possession, or use or misuse of any prize, participation in this Promotion or any Promotion-related activities, or use of the entry in any manner.
DISPUTES: Entrants agree that all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and any and all claims, judgments and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. Entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participants' rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, will be governed by, and construed in accordance with, the laws of the State of Missouri, without giving effect to any choice of law or conflict of law rules. By entering, participants consent to the jurisdiction and venue of the federal, state and local courts located in St. Louis County or St. Louis City, MO.
